Terms of Service

These Terms of Service ("Terms") govern access to TimeMatrix Charts, including its websites, accounts, charts, market-data displays, screeners, heatmaps, watchlists, synthetic portfolios, saved charts, workspaces, scripts, calculators, backtests, symbolic research tools, and related services (collectively, the "Service"). In these Terms, "TimeMatrix," "we," "us," and "our" refer to TimeMatrix LLC, a Georgia limited liability company and the operator of the Service.

By creating an account or using the Service, you agree to these Terms. Our Privacy Policy explains our information practices. Our Risk Disclaimer is part of these Terms. The Refund Policy applies if you purchase paid access. If you do not agree, do not create an account or use the Service.

1. Eligibility and Authority

You must be at least 18 years old, have reached the age of legal majority where you live, and be legally able to enter a binding contract. The Service is not directed to children.

If you use the Service for a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you and the organization. You may not use the Service where access or use is prohibited by applicable law.

The Service is operated from the United States and may be offered to users in other countries only where TimeMatrix determines that access is lawful and operationally supported. Availability does not mean the Service, its data, or every feature is lawful or appropriate in every country. We may restrict accounts, features, payments, or locations to comply with law, sanctions, export controls, provider rights, or other legal obligations.

You may not use the Service if you are prohibited from receiving it under applicable law or are a blocked or sanctioned person. Mandatory consumer rights that apply where you live are not waived by this paragraph.

2. The Service

TimeMatrix is financial charting, market-research, calculation, and software infrastructure. Features may include market history, indicators, drawings, custom timeframes, watchlists, screeners, heatmaps, synthetic portfolio calculations, scripts, backtests, astrology- and cycle-based studies, and saved user work.

Features may be labeled beta, experimental, delayed, end-of-day, stale, simulated, or unavailable. Those labels are material. You must not treat a research display as an executable quote or order-routing system.

3. No Brokerage, Advisory, or Fiduciary Relationship

TimeMatrix does not execute or route orders, hold customer funds or assets, open brokerage accounts, manage portfolios, or act as your broker, dealer, exchange, investment adviser, commodity trading adviser, tax adviser, attorney, accountant, or fiduciary through the Service.

Nothing in the Service is personalized financial, investment, trading, legal, tax, accounting, or other professional advice. No chart, alert, ranking, calculation, indicator, Max Pain value, screener result, heatmap, script, or other output is a recommendation or solicitation to buy, sell, hold, or avoid any instrument.

4. Your Decisions and Verification Duties

You are solely responsible for your research, suitability analysis, decisions, orders, positions, taxes, compliance obligations, risk controls, and results. Verify prices, corporate actions, contract terms, market status, and other material information with an appropriate primary source or regulated intermediary before acting.

TimeMatrix does not guarantee profits, predictions, forecasts, availability, data accuracy, or any particular outcome. Never rely on the Service as your only means of monitoring a position, market, or risk limit.

5. Accounts and Security

You must provide accurate account information and keep it current. Each account is for its authorized user and may not be sold, rented, transferred, or shared. You are responsible for safeguarding your credentials and for activity under your account to the extent allowed by law.

Notify us promptly through the Contact page if you suspect unauthorized access. We may require identity or account verification, invalidate sessions, restrict features, or suspend an account to protect users, data providers, and the Service.

6. Limited License

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for its intended research purposes during your authorized access period.

This license does not transfer ownership of the Service, software, documentation, branding, data-provider content, or other intellectual property. Rights not expressly granted are reserved.

7. Market Data and Data Entitlements

Data may come from exchanges, venues, public sources, licensors, aggregators, or other providers. Provider and exchange rules may restrict markets, delay classes, storage, professional use, exports, screenshots, derived displays, or the number of users and devices.

You agree to provide truthful subscriber or professional-status information if required and to comply with any additional data agreement presented for a dataset. We may change, delay, label, restrict, or remove data to comply with provider rights or law.

Unless we expressly authorize it in writing, you may not scrape, extract, download in bulk, redistribute, retransmit, publish, resell, sublicense, create a competing feed from, or provide third-party access to Service data. Ordinary personal screenshots and exports are permitted only when the applicable feature and data rights allow them.

8. Data Quality and Market Differences

Quotes, candles, volume, fundamentals, news, classifications, corporate actions, options fields, and other information may be delayed, stale, incomplete, interrupted, adjusted, estimated, corrected, or unavailable. Prices and volume can differ across venues, providers, sessions, currencies, and adjustment methods.

Custom timeframe bars depend on their source-bar coverage. A partial bar or limited one-minute history cannot recreate unavailable market activity. Data displayed by the Service is not guaranteed to match an executable price.

9. Synthetic Portfolios

Portfolio features are research simulations based on quantities, dates, prices, and other values entered by you or obtained from available data. They are not brokerage records and do not confirm ownership, cost basis, tax treatment, cash flows, fills, fees, dividends, splits, or account performance unless expressly stated.

You must compare synthetic calculations with your official broker, custodian, and tax records. TimeMatrix is not responsible for trades, filings, or decisions based on a synthetic portfolio display.

10. Indicators, Scripts, Backtests, and Options Analytics

You are responsible for scripts, formulas, indicators, alerts, strategies, parameters, and research workflows you create, import, or use. Outputs may contain programming errors, assumptions, data gaps, repainting behavior, or model limitations.

Backtests and simulations are hypothetical. They do not reproduce the effects of actual execution, liquidity, fees, slippage, latency, market impact, or the ability to follow a strategy during losses. Past, modeled, or simulated performance does not guarantee future results.

Max Pain, open-interest walls, Greeks, implied-volatility ranges, and related options analytics are derived research measures, not proof of market-maker intent, manipulation, future price direction, or likely settlement. Adjusted contracts, multipliers, delayed open interest, and incomplete chains can materially change the result.

11. Symbolic and Cycle Research

Astrology-based, numerology-based, Gann-inspired, Square of 9, Hexagon, planetary, longitude-band, geometric, symbolic, and cycle tools are experimental research frameworks. They are not scientific guarantees, trading signals, or predictions of future market behavior. You are solely responsible for their interpretation and use.

12. User Content and Saved Work

You retain ownership of drawings, notes, scripts, watchlists, workspaces, settings, portfolio inputs, and other content you create, subject to third-party rights. You grant TimeMatrix a worldwide, non-exclusive license to host, copy, process, transmit, and display that content only as reasonably needed to provide, secure, support, and improve the Service or comply with law.

You represent that you have the rights needed for content you submit. Do not upload confidential information you are not authorized to store. Maintain independent copies of anything you cannot afford to lose; saved work may be affected by deletion, corruption, account action, provider changes, compatibility changes, or outages.

13. Acceptable Use

You may not:

  • Use the Service unlawfully, fraudulently, deceptively, or abusively
  • Evade access, account, payment, entitlement, rate, or security controls
  • Probe, disrupt, overload, damage, or introduce malicious code into the Service
  • Reverse engineer the Service except where law expressly permits it
  • Use bots or automation outside documented and authorized interfaces
  • Misrepresent identity, age, authority, payment, or subscriber status
  • Infringe privacy, publicity, intellectual-property, or other rights
  • Use Service data to operate an unauthorized redistribution or competing data service
  • Clone, mirror, frame, republish, or commercially exploit protected TimeMatrix pages, documentation, graphics, interfaces, or software
  • Remove or obscure copyright, trademark, attribution, or other proprietary notices
  • Use access to the Service to build, train, test, or improve a product intended to reproduce protected TimeMatrix code, content, interface expression, or documentation, except where applicable law expressly permits it

14. Subscriptions, Trials, and Billing

If paid plans are offered, the checkout page or order form will state the price, billing period, included access, trial terms, taxes, renewal terms, and cancellation method. By purchasing, you authorize the disclosed charges through the payment processor.

A subscription renews only as disclosed at checkout. You may cancel future renewal through the available billing controls. Cancellation normally takes effect at the end of the paid period and does not by itself create a refund. The Refund Policy and mandatory local law control refund eligibility.

We may change future prices or plan features with notice required by law. Price changes do not apply retroactively to an already-paid period unless you agree otherwise.

15. TimeMatrix Intellectual Property and Proprietary Materials

As between you and TimeMatrix, TimeMatrix and its licensors retain all right, title, and interest in the Service and the original materials made available through it. These materials include source and object code, software architecture, original text and documentation, illustrations, icons and graphics, page and interface expression, original selections and arrangements, feature names, branding, logos, and distinctive nonfunctional visual presentation, to the extent each is protected by copyright, trademark, trade-dress, trade-secret, contract, or other applicable law (collectively, "TimeMatrix Materials"). No ownership right is transferred to you.

Except for the limited license in Section 6, our written permission, or a right that applicable law does not allow us to restrict, you may not copy, reproduce, adapt, translate, modify, mirror, frame, scrape, extract, republish, upload, transmit, publicly display, distribute, sell, license, sublicense, lease, or create derivative works or a substantially similar commercial service from TimeMatrix Materials. You also may not use screenshots, recordings, extracted assets, or access to the Service to reconstruct its protected pages, documentation, software, or interface expression; discover source code or nonpublic implementation details; register confusingly similar branding, domains, or account names; or falsely claim ownership, sponsorship, affiliation, or permission.

These Terms do not claim ownership of facts, ideas, general concepts, mathematical principles, public-domain material, or methods and systems that applicable law does not protect. They do not prohibit lawful independent development that does not use TimeMatrix Materials, confidential information, or access obtained in breach of these Terms. Information qualifies as a trade secret only when the legal requirements for trade-secret protection are met, including reasonable measures to preserve secrecy; publicly displayed features do not become trade secrets merely because these Terms call other materials proprietary.

Unauthorized use may result in suspension or termination and may expose the user to contractual and other remedies available under applicable law. If you want to publish, license, teach from, reproduce, or commercially use TimeMatrix Materials beyond the limited license, contact us for written permission before doing so.

Feedback

If you voluntarily provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without obligation or compensation, provided we do not publicly identify you as its source without permission.

16. Third-Party Services

The Service may depend on hosting, databases, market-data sources, exchanges, crypto venues, payment processors, links, or other third-party services. Their terms and privacy practices may apply. TimeMatrix does not control and is not responsible for third-party services, content, interruptions, corrections, or decisions.

17. Changes, Suspension, and Termination

We may modify, limit, suspend, or discontinue features or data for security, reliability, licensing, legal, provider, technical, or business reasons. We may suspend or terminate access for a material breach, unlawful or harmful use, failed payment, security risk, or a provider or legal requirement.

You may stop using the Service and request account deletion. Sections that by their nature should survive termination, including ownership, data restrictions, disclaimers, liability limits, indemnification, and general terms, will survive.

18. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL DATA, OUTPUTS, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

We do not warrant uninterrupted, secure, error-free, complete, current, or profitable operation. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMEMATRIX AND ITS OWNERS, PERSONNEL, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, TRADING OR INVESTMENT LOSSES, LOST DATA, LOST OPPORTUNITY, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TIMEMATRIX FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Where liability cannot be excluded or limited this way, it is limited to the minimum amount permitted by law. These limits do not exclude liability that law does not permit us to exclude.

20. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless TimeMatrix and its owners, personnel, affiliates, licensors, and service providers from third-party claims and related reasonable costs arising from your unlawful or prohibited use of the Service, your content, your violation of these Terms, or your infringement of another person's rights. We may control the defense and settlement, and you agree to cooperate. This section does not require a consumer to indemnify TimeMatrix for TimeMatrix's own unlawful conduct.

21. Changes to These Terms

We may update these Terms. We will post the updated version and date, and will provide additional notice or request renewed acceptance when required by law or when a material change warrants it. Changes apply prospectively from their effective date. If you do not agree to an updated version, stop using the Service and close your account.

22. General Terms

These Terms, the Risk Disclaimer, applicable checkout or order terms, and policies expressly incorporated here are the entire agreement about the Service and replace earlier understandings on that subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them as part of a merger, financing, reorganization, sale of assets, or transfer of the Service. We are not responsible for delay or failure caused by events beyond reasonable control. Headings are for convenience only.

Mandatory consumer protections and other non-waivable rights remain in effect. Except to the extent mandatory law requires otherwise, these Terms and disputes arising from them or the Service are governed by Georgia law, without regard to conflict-of-laws principles. Any court proceeding must be brought in a state or federal court having jurisdiction in Fulton County, Georgia, and each party consents to that court's jurisdiction. This forum provision does not prevent a consumer from using a different forum when a non-waivable law permits or requires it.
